Terms of Service

1. Who we are

These Terms of Service (“Terms”) are between you and Coalition Software Pty Ltd (“Coalition Software”, “we”, “us”), a private company registered in South Africa. We operate SkuBase, a product information management platform and API (“the Service”), accessible at skubase.co and the SkuBase portal.

2. The Service

SkuBase lets you (the merchant, wholesaler or distributor) centralise your product catalogue, price lists and stock, and distribute product data to your customers and integrations through our API. Your customers access your data with their own customer API keys that you issue and control.

As our Merchant of Record, Paddle issues all refunds and decides eligibility. By default, a purchase is non-refundable; Paddle may refund at its discretion — typically only for requests made within 14 days of the charge — or where a statutory right applies. Requests go via the support link in your Paddle receipt, paddle.net, or [email protected]. Beyond that, fees for a paid month are non-refundable; you keep access until the end of that period. We target continuous availability. Subscribers on the Scale plan are covered by the monthly uptime commitment and service credits set out in our Service Level Agreement.

The Service is provided “as is” and “as available”. We disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Service will be uninterrupted or error-free, and these Terms do not limit any rights you have under South Africa's Consumer Protection Act that cannot be limited.

11. Limitation of liability

To the fullest extent permitted by law, our total liability arising from the Service is limited to the fees you paid us in the 1 month before the event giving rise to the claim. We are not liable for indirect, incidental or consequential loss, lost profits, or lost data, except where such limitation is prohibited by law.

12. Changes to these Terms

We may update these Terms. Material changes are announced at least 30 days in advance by email to your account's primary contact and by updating this page. Continuing to use the Service after the notice period ends means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of South Africa, and the South African courts have exclusive jurisdiction over disputes arising from them, without affecting either party's right to seek urgent interim relief in any competent court.
